EXPLANATORY NOTE

 

This Registration Statement on Form S-8 is being filed for the purpose of registering (i) 20,000,000 shares of common stock, par value $0.001 per share (the “Common Stock”), of Cyber Enviro-Tech, Inc., a Wyoming corporation (the “Company” or the “Registrant”), reserved for issuance pursuant to the CYBER ENVIRO-TECH INC 2026 OMNIBUS INCENTIVE COMPENSATION PLAN.
