Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On July 1, 2026, Sarkees John Nahas, a member of the Company’s Board of Directors, resigned as a director of the Company. The effective date of Mr. Nahas’ resignation was July 1, 2026. The Company has not been informed that this resignation was the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
A copy of Mr. Nahas’ letter relating to his resignation from the Board is filed as Exhibit 17.1 to this Current Report on Form 8-K.
