Departure of Directors or Certain Officers; Election of Directors ; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. |
On June 29, 2026, the board of directors (the “Board”) of Prologis, Inc. (“Prologis”) appointed Alfred F. Kelly, Jr. to serve as a director. The Board determined that Mr. Kelly is independent in accordance with applicable New York Stock Exchange and Securities and Exchange Commission rules and regulations. Mr. Kelly is not a party to any transaction required to be disclosed pursuant to Item 404(a) of Regulation
S-K,
and there are no arrangements or understandings between Mr. Kelly and any other person pursuant to which he was selected as a director. Mr. Kelly will join the Board Governance and Nomination Committee. He will receive compensation under Prologis’ non-employee
director compensation program, as described in the section titled “Director Compensation” in Prologis’ definitive proxy statement for its 2026 Annual Meeting of Stockholders, filed on March 19, 2026, which description is incorporated by reference herein. A copy of the press release announcing the appointment of Mr. Kelly to the Board is attached as Exhibit 99.1 hereto and is incorporated by reference herein.
