Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 27, 2026, Ravi Thanawala notified the Board of Directors (the “Board”) of Smartbird, Inc. (the “Company”) of his intention to resign from the Board, as Mr. Thanawala will be assuming the position of CFO at American Eagle Outfitters, Inc. His resignation will be effective as of July 14, 2026 to support an orderly transition. His resignation was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies, or practices.
