Item 5.02 Departure of Directors or Certain Officers; Elections of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On June 29, 2026, Sue Ann R. Hamilton informed the Board of Directors (the “Board”) of Universal Electronics Inc. (the “Company”) of her decision to resign, effective June 30, 2026, from her position as a member of the Board and the Board committees on which she served. Ms. Hamilton's resignation was not a result of any disputes or disagreements with management or the Board.
