On June 25, 2026, Constellation Energy Generation, LLC (Constellation) announced that it had extended its offers (the Exchange Offers) to exchange any and all of the approximately $2.3 billion in aggregate principal amount of unregistered notes that the Company issued in privately placed offerings on January 15, 2026 for a like principal amount of notes with identical terms that have been registered under the Securities Act of 1933, as amended. The Exchange Offers will now expire at 5:00 p.m., New York City time, on July 10, 2026, unless further extended. A copy of the press release issued on June 25, 2026 announcing the extension of the Exchange Offers is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
