(the “Company”) in connection with the Company’s registration statement on Form F-1, as may be amended from time to time (the “Registration Statement”) and to be initially filed with the Securities and Exchange Commission on 17 June 2026 under the United States Securities Act of 1933, as amended (the “Securities Act”), relating to the Company’s proposed self-directed best efforts offering of up to 20,000,000 of the Company’s Class A Ordinary Shares on the Nasdaq Capital Market (the “Transaction”). |
