Effective June 10, 2026, Fraser McNamee, formerly Manager, Secretary and Treasurer of Empire District Bondco, LLC (the “Company”), stepped down from such roles at the Company. Mr. McNamee did not resign as a result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
Effective June 10, 2026, Robert Stefani was appointed Manager, Secretary and Treasurer of the Company. Since January 5, 2026, Mr. Stefani has served as Chief Financial Officer for Algonquin Power & Utilities Corp. (“Algonquin”), the indirect parent company of the Company. Prior to that, Mr. Stefani served for three years as Chief Financial Officer and Senior Vice President at Southwest Gas Holdings. Prior to Southwest Gas Holdings, Mr. Stefani served for four years as Senior Vice President, Chief Financial Officer and Treasurer of PECO Energy.
There are no arrangements or understandings between Mr. Stefani and any other person pursuant to which Mr. Stefani was appointed as Manager, Secretary and Treasurer of the Company. Mr. Stefani does not have any family relationships with any of the Company’s directors or executive officers and is not party to any transactions or proposed transactions required to be disclosed pursuant to Item 404(a) of Regulation S-K.
