| Amendment Description | Spectral Capital Corporation (the “Company”) is filing this Amendment No. 1 on Form 10-K/A (this “Amendment”) to amend its Annual Report on Form 10-K for the fiscal year ended December 31, 2024, originally filed with the Securities and Exchange Commission on June 23, 2025 (the “Original Filing”). The purpose of this Amendment is to correct an error in Item 9A (Controls and Procedures) of the Original Filing. In the Original Filing, the Company erroneously stated that its disclosure controls and procedures were effective and that its internal control over financial reporting was effective as of December 31, 2024. That conclusion was incorrect. As described in Item 9A of this Amendment, management has re-evaluated the effectiveness of the Company’s disclosure controls and procedures and internal control over financial reporting and has concluded that such controls were not effective as of December 31, 2024, due, to material weaknesses identified herein.Except as described above, no other changes have been made to the Original Filing. This Amendment does not reflect events occurring after the date of the Original Filing or modify or update those disclosures affected by subsequent events. All other items of the Original Filing that are not affected by this Amendment remain unchanged and are incorporated herein by reference to the Original Filing. Pursuant to Rule 12b-15 under the Securities Exchange Act of 1934, as amended, this Amendment contains new certifications by our principal executive officer and principal financial officer. | ||
