(1) This registration statement on Form S-8 relates to ordinary shares, $0.000304635 nominal value per share ("Ordinary Shares"), of Willis Towers Watson Public Limited Company (the "Registrant") to be issued under the WTW Amended and Restated Employee Share Purchase Plan (as amended and restated, the "Amended Plan"). The Registrant's shareholders approved an increase to the aggregate number of ordinary shares available for issuance under the Amended Plan on May 20, 2026. Pursuant to Rule 416(c) under the Securities Act of 1933, as amended (the "Securities Act"), this Registration Statement also covers an indeterminate number of Ordinary Shares which may be offered or issued by reason of stock splits, stock dividends or similar transactions effected without the receipt of consideration which results in an increase in the number of outstanding Ordinary Shares. (2) Estimated solely for the purpose of calculating the amount of the registration fee pursuant to Rule 457 (c) and (h) under the Securities Act.
