Note 8 – Fair Value Measurements

 

Since April 24, 2024, the funds in the Trust Account were held in an interest-bearing deposit account which is cash and cash equivalent, which are excluded from leveling. The following table presents information about the Company’s financial liabilities that are measured at fair value on a recurring basis As of September 30, 2025 by level within the fair value hierarchy:

*The valuation methodologies applied to the Company’s warrants and convertible promissory notes incorporated differing assumptions regarding the probability of consummation of a business combination due to the distinct economic characteristics and risk profiles of the respective instruments. Specifically, the valuation of the warrants reflects risks and expected outcomes extending beyond the consummation of the initial business combination, whereas the valuation of the convertible promissory notes is primarily dependent upon the occurrence of a business combination, after which the associated risk exposure terminates.
