(the "Meeting")

NOTICE-AND-ACCESS NOTIFICATION TO SHAREHOLDERS

You are receiving this notification as Lithium Argentina AG (the "Company") has decided to use the notice-and-access model for delivery of Meeting materials to its shareholders. Under notice-and-access, shareholders still receive a proxy or voting instruction form enabling them to vote at the Meeting. However, instead of a paper copy of the management information circular (the "Circular"), shareholders receive this notice with information on how they may access such materials electronically. The use of this alternative means of delivery is more environmentally friendly as it will help reduce paper use and also will reduce the cost of printing and mailing materials to shareholders. We remind you to access and review all of the important information contained in the Circular and other proxy materials before voting.

SHAREHOLDERS WILL BE ASKED TO CONSIDER AND VOTE ON THE FOLLOWING MATTERS:

1. APPROVAL OF SWISS FINANCIAL STATEMENTS: To approve the Swiss consolidated financial statements of the Company for the year ended December 31, 2025, and the Swiss statutory standalone financial statements of the Company for the year ended December 31, 2025, together with the respective reports of the auditor thereon. See "Proposals of Business - Proposal 1. Approval of Swiss Financial Statements".

2. APPROPRIATION OF THE ACCUMULATED LOSS FOR FISCAL 2025: To approve the appropriation of the accumulated loss for fiscal year 2025. See "Proposals of Business - Proposal 2. Appropriation of the Accumulated Loss for Fiscal Year 2025".

3. DISCHARGE OF THE MEMBERS OF THE BOARD AND THE EXECUTIVE MANAGEMENT TEAM FOR THE ACTIVITIES DURING FISCAL YEAR 2025: To approve the discharge of the members of the Board of Directors of the Company (the "Board") and of the executive management team from liability for the activities during fiscal year 2025. See "Proposals of Business - Proposal 3. Discharge of the Members of the Board and of the Executive Management Team from Liability for the Activities During Fiscal Year 2025".

4. APPROVAL OF AMENDED AND RESTATED EQUITY INCENTIVE PLAN: To approve the Company's new amended and restated equity incentive plan, as more particularly described in the accompanying management information circular. See "Proposals of Business - Proposal 4. Approval of Amended and Restated Incentive Plan".

5. RE-ELECTION OF EIGHT DIRECTORS: To re-elect the eight (8) directors of the Company, each for a term extending until completion of the next annual general meeting. See "Proposals of Business - Proposal 5. Re-Election of Eight Directors".

6. RE-ELECTION OF CHAIR: To re-elect the Chair of the Board for a term extending until completion of the next annual general meeting. See "Proposals of Business - Proposal 6. Re-Election of Chair".

7. RE-ELECTION OF MEMBERS OF THE GOVERNANCE, NOMINATION, COMPENSATION AND LEADERSHIP COMMITTEE: To re-elect the three (3) members of the Governance, Nomination, Compensation and Leadership Committee, each for a term extending until completion of the next annual general meeting. 8. APPOINT THE AUDITOR: To appoint for the financial year 2026, PricewaterhouseCoopers LLP, Chartered Professional Accountants, as auditor of the Company. See "Proposals of Business - Proposal 8. Appoint the Auditor".

9. ELECT THE SWISS STATUTORY AUDITOR: To elect for the financial year 2026 PricewaterhouseCoopers AG, Zug, Switzerland, as Swiss statutory auditor. See "Proposals of Business - Proposal 9. Elect the Swiss Statutory Auditor".

10. APPROACH TO EXECUTIVE COMPENSATION: To approve a non-binding advisory resolution on the Company's executive compensation. See "Proposals of Business - Proposal 10. Approach to Executive Compensation".

11. APPROVAL OF THE MAXIMUM AGGREGATE COMPENSATION OF THE BOARD FOR THE PERIOD BETWEEN THE 2026 MEETING AND THE 2027 MEETING: To approve the maximum aggregate compensation of the Board for the period until the next annual general meeting. See "Proposals of Business - Proposal 11. Approval of the Maximum Aggregate Compensation of the Board for the Period between the 2026 Meeting and the 2027 Meeting".

12. APPROVAL OF THE MAXIMUM AGGREGATE COMPENSATION OF THE EXECUTIVE MANAGEMENT TEAM FOR THE FINANCIAL YEAR 2027: To approve the maximum aggregate compensation of the executive management team for the financial year 2027 under Swiss law. See "Proposals of Business - Proposal 12. Approval of the Maximum Aggregate Compensation of the Executive Management Team for the Financial Year 2027".

13. APPROVE THE SWISS STATUTORY COMPENSATION REPORT: To approve a non-binding advisory resolution on the Swiss statutory compensation report. See "Proposals of Business - Proposal 13. Approve the Swiss Statutory Compensation Report".

14. ELECT THE SWISS STATUTORY INDEPENDENT VOTING REPRESENTATIVE: To elect the Swiss statutory independent voting representative for a term extending until completion of the next annual general meeting. OTHER BUSINESS: To transact such other business as may properly come before the annual general meeting or at any adjournment thereof. Information regarding the use of discretionary authority to vote on any such business may be found in the "Voting Information - Specific Voting Instructions" section of the Circular.

HOW TO OBTAIN PAPER COPIES OF THE MEETING MATERIALS:

Shareholders still have the right to request paper copies of the Meeting materials posted online by the Company under notice-and-access if they choose. The Company will not use the "stratification" procedure for notice-and-access, where a paper copy of the Meeting materials is provided along with the notice package.

The Company will provide paper copies of the Meeting materials including proxy-related materials such as the Circular, the audited financial statements of the Company for the year ended December 31, 2025, the auditor's report and the related MD&A free of charge, for a period of up to one year from the date the Circular is filed on SEDAR+ at www.sedarplus.ca and on EDGAR at the website of the SEC at www.sec.gov/edgar. Shareholders who wish to receive a paper copy of the Meeting materials in advance of the Meeting should submit their request (per the instructions below) no later than June 9, 2026, to allow themselves sufficient time to receive and review the materials before the proxy submission deadline of 5:00 p.m. (Central European Summer Time) on June 17, 2026. Materials will be sent within three business days of receiving a request if the request is received before the Meeting date, or within 10 days if received on or after the Meeting date.
