The underwriter has agreed to purchase the shares from the selling shareholder at the price of $73.91 per share, resulting in aggregate proceeds of $148,157,694.79 to the selling shareholder.

Any excess will be treated as gain realized on the sale or other taxable disposition of our common stock and will be treated as described under “— Sale or Other Disposition of Our Common Stock” below.

Non-U.S. Holders should expect that the gross amount of any distributions with respect to our common stock will generally be subject to U.S. withholding tax unless the applicable withholding agent elects to withhold a lesser amount based on a reasonable estimate of the amount of the distribution that would be treated as a dividend.

The Company believes it is not and has not been a USRPHC at any point during the past five years, and it does not anticipate that it will become a USRPHC in the foreseeable future.

Information Reporting and Backup Withholding

We must report annually to the IRS and to each Non-U.S. Holder the gross amount of the distributions on our common stock paid to such holder and the tax withheld, if any, with respect to such distributions.

Background

On March 7, 2022, we entered into the merger agreement. We are registering for resale an aggregate of 18,591,866 shares of our common stock that may be sold by the selling shareholders set forth herein.
