Item 7.01 Regulation FD Disclosure
On April 9, 2026 the Company’s Board of Directors announced the initiation of a strategic transaction review process to explore the diversification of its operations and revenues, and to maximize stockholder value. A copy of the Press Release is filed as Exhibit 99.1 to this current report.
