Resignation of Ms. Suet Man, Mak

On March 31, 2026, the Board of Directors (the “Board”) of Happy City Holdings Limited (the “Company”) received and accepted the resignation of Ms. Suet Man, Mak from her position as an independent director of the Company, effective immediately. Ms. Suet Man, Mak resigned for personal reasons and not due to any disagreement with the Company or the Board on any matter relating to the Company’s operations, policies, or practices.
