Item 1. Description of Registrant’s Securities to be Registered.

The registration statement on Form 8-A relates to the registration of common stock, par value $0.001 per share (the “Common Stock”), of RoboStrategy, Inc., a Maryland corporation (the “Company”), pursuant to Section 12(b) of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), in connection with the listing of the Common Stock on The Nasdaq Stock Market, LLC (“Nasdaq”). The description of the Common Stock of the Company to be registered hereby is contained in the section entitled “Description of Our Shares” in the prospectus included in the Company’s Registration Statement on Form N-2, as initially filed with the Securities and Exchange Commission on November 7, 2025 (Registration No. 333-291400), including exhibits, and as may be subsequently amended from time to time, is hereby incorporated by reference herein.
