Related-Party Transactions Investment funds affiliated with Onex Corporation (“Onex”) owned approximately 93.3% of the Company’s outstanding common stock at December 31, 2025. Affiliates of Onex Corporation held a 95.9% ownership position in Convex Group Ltd. (“Convex”), which is one of the insurers in the syndicate that provides the Company’s insurance coverage. The Company made payments of $0.3 million, $0.5 million and $0.8 million to Convex during the years ended December 31, 2025, 2024 and 2023, respectively. Additionally, certain of the Company’s tradeshows and other events are held at facilities managed by ASM Global (“ASM”). During the third quarter of 2024, affiliates of Onex Corporation sold their ownership position in ASM. The Company paid to ASM aggregate fees, inclusive of certain concessions, equal to $1.0 million and $1.3 million during the years ended December 31, 2024 and 2023, respectively. These payments are included in cost of revenues in the consolidated statements of (loss) income. |
