(1)During the second quarter of 2025, the Company recorded expenses of $9,184,000, primarily due to pre-tax charges related to the settlement of certain litigation matters, including the anticipated settlement of a previously disclosed class action and PAGA lawsuit that alleged the violation of certain California wage-and-hour and related laws and regulations, and charges related to the planned closure of a Bank branch.
(2)During fourth quarter of 2025, the Company recorded expenses of $2,067,000, due to pre-tax charges related to the announced pending merger with CVBF.
