Consists of up to (i) 10,000,000 shares of common stock, par value $0.0001 per share, of the Registrant (“Common Stock”) issued in a private placement to accredited investors on September 5, 2025 (the “Private Placement”); (ii) 586,666 shares of Common Stock issuable upon exercise of the warrants issued to each of the U.S. registered broker-dealers acting as placement agents in connection with the Private Placement; (iii) 38,538,922 shares of Common Stock issued to the selling stockholders that were formerly Legacy Deep Fission stockholders in connection with the closing of the reverse subsidiary merger transaction among Registrant, Legacy Deep Fission, and Deep Fission Acquisition Co.
