On September 5, 2025, Bunker Hill Mining Corp., a Nevada corporation (the “Company”), issued a press release announcing a C$45 million “bought deal” private placement of units. A copy of the press release is filed as Exhibit 99.1 hereto and is incorporated herein by reference.
