Item 1.01 Entry Into a Material Definitive Agreement.
On August 5, 2025, Apartment Investment and Management Company (“Aimco”) entered into an agreement to sell its portfolio of five apartment properties located in suburban Boston to HGI Acquisitions, LLC (the “buyer”) for a gross price of $740 million. The buyer has completed due diligence and made a $20 million non-refundable deposit. Four of the five asset sales are expected to close during the third quarter of 2025, with closing of the final asset expected in the fourth quarter to accommodate an assumption of the property loan.
Net proceeds from the transaction, accounting for the associated property-level debt, are expected to be approximately $485 million. Aimco plans to return the majority of the net proceeds from the transaction upon receipt to shareholders.
