Item 7.01 Regulation FD Disclosure
On July 30, 2025, the Company issued a press release announcing a dividend declared by the Company’s Board of Directors on July 30, 2025. A copy of the press release is attached as an exhibit to this Current Report on Form 8-K.

Item 8.01 Other Events
On July 30, 2025, the Company announced that its Board of Directors has declared the first-ever quarterly cash dividend of $0.10 per share of common stock, or $0.40 per share of common stock on an annualized basis. This cash dividend is expected to be paid on August 22, 2025 to all shareholders of record as of the close of business on August 8, 2025.
