(1) In connection with the acquisition of Pathline, the Company recognized $4.8 million of goodwill, reflecting the preliminary allocation of the purchase price to the identifiable assets acquired and liabilities assumed. (2) In connection with the classification of the disposal group as held for sale, the Company recognized an impairment charge of $3.5 million to write down the carrying value of the group to its estimated fair value less costs to sell. Please refer to Note 3. Acquisitions and Disposals for further information about the planned disposal of Trapelo.
