Interests in Registrant are not being registered under the Securities Act of 1933 (the 1933 Act) and will be issued solely in private placement transactions that do not involve any public offering within the meaning of Section 4(2) of, and/or Regulation D under, the 1933 Act. Investments in Registrant may only be made by individuals or entities meeting the definition of an accredited investor in Regulation D under the 1933 Act and an Eligible Investor as described in this Registration Statement. EXPLANATORY NOTE
This Amendment No. 32 (the Amendment) to the Registration Statement on Form N-2 is being filed under the 1940 Act to amend and supplement Amendment No. 31 to the Registrants Registration Statement on Form N-2 filed on July 26, 2024 under the 1940 Act (Accession No. 0001193125-24-186160) (Amendment No. 31).

Capitalized terms and certain other terms used in this Supplement, unless otherwise defined in this Supplement, have the meanings assigned to them in the Funds Private Placement Memorandum.
NOTICE OF LIQUIDATION OF J.P. MORGAN ACCESS MULTI-STRATEGY FUND, L.L.C. On June 18, 2025, the Board of Directors (the Board) of J.P. Morgan Access Multi-Strategy Fund, L.L.C. (the Fund), upon the recommendation of the Funds investment manager J.P. Morgan Private Investments Inc. (JPMPI), and upon careful consideration, approved a proposal to liquidate the Fund pursuant to the terms of a plan of liquidation (the Plan of Liquidation). Pursuant to the Plan of Liquidation, substantially all of the assets of the Fund will be liquidated, known liabilities of the Fund will be satisfied, and the remaining proceeds will be distributed to the Funds Members. The Fund currently anticipates paying liquidating distributions in more than one installment, with an initial liquidating distribution being paid during the fourth calendar quarter of 2025 and the final liquidating distribution being paid during the third calendar quarter of 2027, although market, economic or other factors, including the timing of the Funds receipt of proceeds of redemptions from Investment Funds, could result in the Funds liquidating distributions being paid earlier or later than anticipated.
Effective as of the date of this supplement, JPMPI will engage in business and activities for the purposes of winding down the Funds business affairs and transitioning its portfolio to cash and cash equivalents in preparation for the orderly liquidation and subsequent liquidating distributions. In preparing for the liquidation and the process of transitioning its portfolio, the Fund will no longer be pursuing its investment objective or be managed consistent with its investment strategies as stated in the Private Placement Memorandum. This is likely to impact performance. Pending the Funds final distribution, the Fund may remain invested in certain Investment Funds, which means that certain of the Funds assets will still be exposed to the risks of the Funds investment program. The Fund is closed to any subscriptions and will not make any further tender offers to repurchase Interests. Members will not be required to submit any written tender documentation in order to receive distributions in connection with the liquidation. Any tenders previously submitted by Members in connection with the tender offer that commenced on March 28, 2025 will be processed in accordance with the terms of that offer.
Repurchase fees for Members who have held Interests in the Fund for less than one-year will be waived.
Effective July 1, 2025, JPMPI has contractually agreed to waive its management fee of 1.00% and to waive fees and/or reimburse the Fund so that the total operating expenses of the Fund (excluding certain expenses) will not exceed 0.78% through the entire duration of the liquidation (down from 1.92%). JPMPI will also continue to waive fees and/or reimburse expenses in an amount sufficient to offset the respective net fees collected from the affiliated money market funds on the Funds investment in such money market funds.
Upon the distribution of all of the Funds assets, the Fund intends as soon as practicable to deregister under the Investment Company Act of 1940, as amended, and dissolve under Delaware law.
You may be subject to federal, state, local or foreign taxes on the liquidating distributions you receive. You should consult your tax adviser for information regarding all tax consequences applicable to your investment in the Fund.

After completion of the private offering of Interests, Registrant expects that no person will be directly or indirectly under common control with Registrant, except that the Registrant may be deemed to be controlled by MSFMM, Inc., the Managing Member of the Registrant. The Managing Member was formed under the laws of the State of Delaware, and is the sole Managing Member of the Fund. The Managing Member is a corporation and its shares are held by Intertrust SPV (Cayman) Limited.

ITEM 30. INDEMNIFICATION
Reference is made to Section 3.9 of Registrants Amended and Restated LLC Agreement. Registrant hereby undertakes that it will apply the indemnification provisions of the LLC Agreement in a manner consistent with Investment Company Act Release No. 11330 (Sept. 4, 1980) issued by the Securities and Exchange Commission, so long as the interpretation of Sections 17(h) and 17(i) of the 1940 Act contained in that release remains in effect.
Registrant, in conjunction with the Managing Member, the Investment Manager and Registrants Board of Directors, maintains insurance on behalf of any person who is or was an Independent Director, officer, employee, or agent of
Registrant, against certain liabilities asserted against him or her and incurred by him or her or arising out of his or her position. In no event, however, will Registrant pay that portion of the premium, if any, for insurance to indemnify any such person or any act for which Registrant itself is not permitted to indemnify.
