Item 8.01 Other Events

On June 13, 2025, Toll Brothers Finance Corp. (the “Issuer”), a wholly-owned subsidiary of Toll Brothers, Inc. (the “Company”), delivered a notice of optional redemption (the “Redemption Notice”) to the holders of its outstanding 4.875% Senior Notes due 2025 (the “Notes”) issued under the Indenture dated as of February 7, 2012, as supplemented by the Authorizing Resolution dated as of October 30, 2015 (the “Indenture”), among the Issuer, the Company, the other guarantors party thereto and The Bank of New York Mellon, as Trustee (the “Trustee”), pursuant to which the Issuer will redeem all $350,000,000 aggregate principal amount of outstanding Notes. The Notes will be redeemed on July 15, 2025 (the “Redemption Date”) at a redemption price in cash of the greater of (a) 100% of the principal amount of the Notes being redeemed and (b) the present value of the Remaining Scheduled Payments (as defined in the Indenture) on the Notes being redeemed on the Redemption Date, discounted to the Redemption Date, on a semiannual basis, at the Treasury Rate (as defined in the Indenture) plus 50 basis points. Accrued and unpaid interest to, but excluding, July 15, 2025 will be paid in accordance with the terms of the Indenture and the Notes.
