Item 5.02. Departure of Directors or Certain Officers; Election of Directors: Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 11, 2025, Todd E. Hasty notified Caleres, Inc. (the “Company”) of his decision to retire as the Company’s Senior Vice President, Chief Accounting Officer, effective October 17, 2025, after nearly 22 years of service with the Company. Mr. Hasty’s retirement and resignation is not due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices or to any issues regarding its accounting or financial policies or practices.  Upon his retirement, Mr. Hasty will cease serving as the Company’s Principal Accounting Officer.
