Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 11, 2025, Ms. Laura Cooper resigned as a director of Auburn National Bancorporation, Inc. (the “Company”) and the Company’s wholly owned subsidiary, AuburnBank (the “Bank”). Ms. Cooper has served as a director of the Company and the Bank since 2020.

Ms. Cooper’s resignation is not a result of any disagreement between herself and the Company or the Bank.
