EXPLANATORY NOTE

The sole purpose of this filing is to delay the effectiveness of the Registrant’s Post-Effective Amendment No. 4 62 (the “Amendment”) to its Registration Statement (filed on March 27, 2025) with respect to each series, the Cloverpoint Core Alpha US ETF, Cloverpoint Core Alpha International ETF, Cloverpoint Core Alpha Global ETF, and Cloverpoint Core Alpha Energy Transition ETF until June 14, 2025. Parts A and B of the Amendment are incorporated by reference herein. This amendment also incorporates by reference the information contained in Part C of Post-Effective Amendment No. 49 9 to the Trust’s Registration Statement, which was filed on June 6, 2025.
