Item 7.01 Regulation FD Disclosure.
On June 6, 2025, Asbury Automotive Group, Inc. (the "Company") announced that its previously disclosed acquisition of the various automotive dealerships owned by The Herb Chambers Companies is now expected to close by the end of July 2025. The acquisition continues to be subject to various customary closing conditions, including among other things approval from the applicable licensing agencies.
