Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment
of Certain Officers; Compensatory Arrangements of Certain Officers.
On May 20, 2025, Robert M. Gorman notified Atlantic Union Bankshares Corporation (“Atlantic Union”) of his plan to retire as executive vice president and chief financial officer of Atlantic Union and Atlantic Union Bank, effective on the earlier of the appointment of his successor or March 31, 2026. Following the appointment of a successor, he will continue in an advisory capacity to assist with the transition. Atlantic Union has initiated a nationwide search for a successor, engaging a leading executive search firm to help identify both internal and external candidates.

On May 22, 2025, Atlantic Union announced the planned retirement of Mr. Gorman. A copy of the press release is furnished with this Current Report on Form 8-K as Exhibit 99.1.
