Item 1.01 Entry Into A Material Definitive Agreement.

 

As previously disclosed on January 27, 2025, Black Spade Acquisition II Co (“Black Spade II”) entered into a Business Combination Agreement (the “Business Combination Agreement”) with The Generation Essentials Group (previously World Media and Entertainment Universal Inc., “TGE”) and WME Merger Sub Limited, a direct wholly-owned subsidiary of WME (“Merger Sub”), on the date thereof, pursuant to which, among other transactions, on the terms and subject to the conditions set forth therein, Merger Sub will merge with and into Black Spade II (“Merger”), with Black Spade II surviving the Merger as a wholly-owned subsidiary of TGE.

 

The Business Combination Agreement contemplates the execution, on or before the Closing, of, among others, an assignment, assumption and amendment agreement (the “Assignment, Assumption and Amendment Agreement”) of that certain warrant agreement, dated August 27, 2024, by and between Black Spade II and Continental Stock Transfer & Trust Company (the “Existing Warrant Agreement”), pursuant to which, among other things, effective as of the Merger Effective Time, Black Spade II will assign all of its rights, interests and obligations under the Existing Warrant Agreement to TGE.

 

According to the terms of the Existing Warrant Agreement, the BSII Warrant may be exercised only after the later of: (i) the date that is thirty (30) days after the first date on which the Business Combination is completed, and (ii) the date that is twelve (12) months from the date of the closing of the Black Spade II’s IPO (which occurred on August 29, 2024). Black Spade II and TGE plan to further amend the terms of the Existing Warrant Agreement at the Closing, through the execution of the Assignment, Assumption and Amendment Agreement, so that the TGE Warrant can be exercised on the date that is thirty (30) days after the first date on which the Business Combination is completed.

 

Accordingly, Black Spade II and TGE have agreed the Assignment, Assumption and Amendment Agreement shall be executed in substantially the form attached hereto as exhibit 10.1. The foregoing description of the Assignment, Assumption and Amendment Agreement does not purport to be complete and is qualified in its entirety by the terms and conditions of Exhibit 10.1 hereto, which is incorporated herein by reference.
