Dear bluebird bio stockholder:

We are writing to update you that Carlyle and SK Capital have revised the terms of their tender offer for all of the outstanding shares of bluebird bio, Inc. (“bluebird”) to provide an additional form of consideration that our stockholders may elect to receive. Under the updated terms, stockholders can choose to receive either (i) $3.00 per share in cash upfront and a contingent value right (CVR) per share, entitling the holder to a payment of $6.84 upon the achievement of a net sales milestone, consistent with the original offer, or (ii) $5.00 per share in cash upfront, but without any CVR. Stockholders who would prefer greater upfront cash consideration instead of the potential upside of the CVR can now elect to receive consideration consisting of $5.00 per share in cash.

It is important that you act now and instruct your broker to tender your shares. Expiration is quickly approaching and many brokers have earlier deadlines in order to tender your shares. Please inquire as soon as possible. We also note that if no election is made and the tender offer is consummated, you will receive the consideration of $3.00 and a CVR per share.

If the tender offer with Carlyle and SK Capital is not successful, bluebird is at significant risk of defaulting on its loan agreements with Hercules Capital and it is extremely unlikely that stockholders would receive any consideration for their shares in bankruptcy or liquidation. Furthermore, bluebird could face significant risk in its ability to deliver therapies to patients in need.

We continue to note that none of the more than 100 parties with whom we engaged prior to the current transaction nor Ayrmid Ltd. have offered a binding or actionable proposal over the past several months. The proposed transaction with Carlyle and SK Capital is the only viable solution to generate value for bluebird stockholders and it now comes with optionality for you.
