During the year ended December 31, 2022, VentureForth Holdings, LLC, a consolidated subsidiary which previously had a management services agreement with the company, was acquired by merger. The Company issued 18,755,082 common shares and issued approximately $26,000,000 to buy out the

non-controlling

interest in VentureForth LLC and resolve any litigation relating to VentureForth LLC.
