Contingent Income Auto-Callable Securities due November 30, 2026

With the Coupon and Payment at Maturity Subject to the Performance of the Worst Performing of the Nikkei 225 Index, the Russell 2000® Index and the S&P 500® Index

Principal at Risk Securities

Unlike conventional debt securities, the securities do not guarantee the payment of interest or the return of the full principal amount at maturity. Instead, the securities offer the opportunity for investors to receive a contingent quarterly coupon equal to 2.85% of the stated principal amount (a rate of 11.40% per annum), but only with respect to each determination period during which the closing value of each underlier on each scheduled trading day is greater than or equal to 75% of its initial underlier value, which we refer to as a downside threshold value. If on any scheduled trading day during a determination period the closing value of any underlier is less than its downside threshold value, you will not receive any contingent quarterly coupon for the relevant determination period. If the closing value of each underlier is greater than or equal to its initial underlier value on any determination period end date (other than the final determination date), the securities will be automatically redeemed for an amount per security equal to the stated principal amount and any contingent quarterly coupon otherwise due. No further payments will be made on the securities after they have been redeemed. At maturity, if the securities have not previously been redeemed and the final underlier value of the worst performing underlier is greater than or equal to its downside threshold value, the payment at maturity will be the stated principal amount and any contingent quarterly coupon otherwise due. However, if the final underlier value of the worst performing underlier is less than its downside threshold value, investors will lose 1% of the stated principal amount for every 1% that the final underlier value of the worst performing underlier is less than its initial underlier value and will receive a payment at maturity that is less than 75% of the stated principal amount and could be zero. Because all payments on the securities are based on the underlier with the worst performance, a decline in the closing value of any underlier below its downside threshold value on any scheduled trading day during most or all of the determination periods will result in few or no contingent quarterly coupons, and a decline in the closing value of any underlier below its downside threshold value on the final determination date will result in a significant loss of your investment, in each case, even if the other underliers appreciate or have not declined as much. Investors in the securities must be willing to accept the risk of losing their entire principal and the risk of not receiving any contingent quarterly coupons. The securities are for investors who are willing and able to risk their principal and forgo guaranteed interest payments, in exchange for the opportunity to potentially receive contingent quarterly coupons at an above-market rate, subject to automatic early redemption. Investors will not participate in any appreciation of any underlier. The securities are senior unsecured debt securities issued as part of Royal Bank of Canada’s Senior Global Medium-Term Notes, Series J program. All payments on the securities are subject to the credit risk of Royal Bank of Canada.

Contingent quarterly coupon:

·     If, on each scheduled trading day during any determination period, the closing value of each underlier is greater than or equal to its downside threshold value, we will pay a contingent quarterly coupon of $28.50 (2.85% of the stated principal amount, or a rate of 11.40% per annum) per security on the related contingent payment date set forth below.

·     If, on any scheduled trading day during any determination period, the closing value of any underlier is less than its downside threshold value, no contingent quarterly coupon will be made with respect to that determination period. 

Payment at maturity:

If the securities are not redeemed prior to maturity, you will receive on the maturity date a cash payment per security determined as follows:

·   If the final underlier value of the worst performing underlier is greater than or equal to its downside threshold value:  

stated principal amount + any contingent quarterly coupon otherwise due

·   If the final underlier value of the worst performing underlier is less than its downside threshold value:  

stated principal amount × underlier performance factor of the worst performing underlier

Under these circumstances, the payment at maturity will be less than 75% of the stated principal amount. You will lose at least 25% and possibly all of the stated principal amount if the final underlier value of the worst performing underlier is less than its downside threshold value.

The securities offer the opportunity for investors to receive a contingent quarterly coupon equal to 2.85% of the stated principal amount (a rate of 11.40% per annum), but only with respect to each determination period during which the closing value of each underlier on each scheduled trading day is greater than or equal to 75% of its initial underlier value, which we refer to as a downside threshold value. The securities may be redeemed prior to maturity for the stated principal amount plus any contingent quarterly coupon otherwise due, and the payment at maturity will vary depending on the final underlier value of the worst performing underlier, as demonstrated in scenarios 2 and 3 below.

Investors may lose their entire investment. The securities are for investors who are willing and able to risk their principal and forgo guaranteed interest payments, in exchange for the opportunity to potentially receive contingent quarterly coupons at an above-market rate, subject to automatic early redemption.

 

Scenario 1

On any determination period end date (other than the final determination date), the closing value of each underlier is greater than or equal to its initial underlier value.

For purposes of the examples below, the “worst performing underlier” on any scheduled trading day during each determination period or on the final determination date will be the underlier with the largest percentage decline from its initial underlier value to its closing value on that scheduled trading day or the final determination date, as applicable.

 

In Examples 1 and 2, the closing value of each underlier fluctuates over the term of the securities and the closing value of each underlier is greater than or equal to its initial underlier value on one of the determination period end dates prior to the final determination date. Because the closing value of each underlier is greater than or equal to its initial underlier value on one of those determination period end dates, the securities are automatically redeemed following the relevant determination period end date. In Examples 3 and 4, the closing value of at least one underlier on each of the determination period end dates prior to the final determination date is less than its initial underlier value, and, consequently, the securities are not automatically redeemed and remain outstanding until maturity.

§In Example 1, the securities are automatically redeemed following the second determination period end date, as the closing value of each underlier on that determination period end date is greater than or equal to its initial underlier value. Because the closing value of each underlier on each scheduled trading day during the second determination period is greater than or equal to its downside threshold value, the early redemption payment will include the contingent quarterly coupon with respect to that determination period, and you receive the early redemption payment, calculated as follows:

 

stated principal amount + any contingent quarterly coupon otherwise due = $1,000 + $28.50 = $1,028.50

 

In this example, the early redemption feature limits the term of your investment to approximately 6 months, and you may not be able to reinvest at comparable terms or returns. If the securities are redeemed early, you will stop receiving contingent quarterly coupons.

 

§In Example 2, the securities are automatically redeemed following the sixth determination period end date, as the closing value of each underlier on that determination period end date is greater than or equal to its initial underlier value. As the closing value of each underlier on each scheduled trading day during some of the earlier determination periods is greater than or equal to its downside threshold value, you will receive the contingent quarterly coupon with respect to each such determination period. Following the sixth determination period end date, you receive an early redemption payment equal to the stated principal amount of $1,000 per security, but you do not receive a contingent quarterly coupon with respect to the relevant determination period because the closing value of at least one underlier was less than its downside threshold value on at least one scheduled trading day during that determination period.

 

In this example, the early redemption feature limits the term of your investment to approximately 18 months and you may not be able to reinvest at comparable terms or returns. If the securities are redeemed early, you will stop receiving contingent quarterly coupons. Further, although each underlier has appreciated by 25% or more from its initial underlier value on the sixth determination period end date, you receive only the early redemption payment, and do not benefit from such appreciation.

Examples 3 and 4 illustrate the payment at maturity per security based on the final underlier value of the worst performing underlier.

 

§In Example 3, the closing value of at least one underlier is below its downside threshold value on at least one scheduled trading day during every determination period. As a result, you do not receive any contingent quarterly coupons during the term of the securities even if the closing value of each other underlier has appreciated or has not declined below its downside threshold value on any scheduled trading day during those determination periods. In addition, because the final value of the worst performing underlier is less than its downside threshold value, at maturity, you are fully exposed to the decline in the closing value of the worst performing underlier. Your payment at maturity is calculated as follows:

 

stated principal amount × underlier performance factor of the worst performing underlier = $1,000 × (50.00 / 100.00) = $500.00

 

In this example, the amount you receive at maturity is significantly less than the stated principal amount.

 

§In Example 4, the closing value of at least one underlier is below its downside threshold value on at least one scheduled trading day during every determination period prior to the final determination period. As a result, you do not receive any contingent quarterly coupons with respect to those determination periods, even if the closing value of each other underlier has appreciated or has not declined below its downside threshold value on any scheduled trading day during those determination periods. In addition, although the final underlier value of the worst performing underlier is less than its initial underlier value, because the final underlier value of the worst performing underlier is not less than its downside threshold value and because the closing value of each underlier on each scheduled trading day during the final determination period is greater than or equal to its downside threshold value, you receive the stated principal amount plus the contingent quarterly coupon otherwise due. Your payment at maturity is calculated as follows:

 

stated principal amount + any contingent quarterly coupon otherwise due = $1,000 + $28.50 = $1,028.50

 

In this example, although the final underlier value of the worst performing underlier represents a 10% decline from its initial underlier value, you receive the stated principal amount per security plus any contingent quarterly coupon otherwise due, because the final underlier value of the worst performing underlier is not less than its downside threshold value and because the closing value of each underlier on each scheduled trading day during the final determination period is greater than or equal to its downside threshold value.

Risks Relating to the Terms and Structure of the Securities

 

§The securities do not guarantee the return of any principal. The terms of the securities differ from those of ordinary debt securities in that the securities do not guarantee the payment of regular interest or the return of any of the stated principal amount at maturity. Instead, if the securities have not been automatically redeemed prior to maturity and if the final underlier value of the worst performing underlier is less than its downside threshold value, you will be exposed to the decline in the closing value of the worst performing underlier, as compared to its initial underlier value, on a 1 to 1 basis and you will receive for each security that you hold at maturity an amount equal to the stated principal amount multiplied by the underlier performance factor of the worst performing underlier. In this case, the payment at maturity will be less than 75% of the stated principal amount and could be zero.

 

§Any payment on the securities will be determined solely by the underlier with the worst performance even if the other underliers perform better. Any payment on the securities will be determined solely by the performance of the underlier with the worst performance. The securities are not linked to a weighted basket, in which the risk may be mitigated and diversified among each of the basket components. In the case of the securities, the individual performance of the underliers will not be combined, and the adverse performance of one underlier will not be mitigated by any appreciation of any other underlier. The underliers may be uncorrelated and may not perform similarly over the term of the securities, which may adversely affect your return on the securities.

 

§You will not receive any contingent quarterly coupon for any determination period where the closing value of any underlier is less than its downside threshold value on any scheduled trading day during that determination period. A contingent quarterly coupon will be paid with respect to a determination period only if the closing value of each underlier is greater than or equal to its downside threshold value on each scheduled trading day during that determination period. If the closing value of any underlier is below its downside threshold value on any scheduled trading day during each determination period over the term of the securities, you will not receive any contingent quarterly coupons. If you do not receive sufficient contingent quarterly coupons over the term of the securities, the overall return on the securities may be less than the amount that would be paid on a conventional debt security of the issuer of comparable maturity. Your investment may not reflect the full opportunity cost to you when you take into account factors that affect the time value of money, such as inflation.

 

§You will not participate in any appreciation in the value of any underlier. You will not participate in any appreciation in the value of any underlier, and the return on the securities will be limited to the contingent quarterly coupon, if any, that is paid with respect to each determination period during which the closing value of each underlier on each scheduled trading day is greater than or equal to its downside threshold value.

 

§The potential contingent repayment of principal represented by the downside threshold value applies only at maturity. You should be willing to hold the securities until maturity. If you are able to sell the securities prior to maturity, you may have to sell them for a loss relative to the principal amount, even if the value of each underlier is at or above its downside threshold value.

 

§The automatic early redemption feature may limit the term of your investment to approximately three months. Moreover, you should expect that, if the applicable withholding agent determines that withholding tax should apply, it will be at a rate of 30% (or lower treaty rate). Supplemental Plan of Distribution (Conflicts of Interest)

 

Pursuant to the terms of a distribution agreement, RBCCM, an affiliate of Royal Bank of Canada, will purchase the securities from Royal Bank of Canada for distribution to MSWM. RBCCM will act as agent for the securities and will receive the fee specified on the front cover of this document and will pay to MSWM a fixed sales commission for each of the securities they sell as specified on the front cover of this document. Of the fee received by RBCCM, RBCCM will pay MSWM a structuring fee for each security as specified on the front cover of this document. The costs included in the original issue price of the securities will include a fee paid by RBCCM to LFT Securities, LLC, an entity in which an affiliate of MSWM has an ownership interest, for providing certain electronic platform services with respect to this offering.

 

MSWM may reclaim selling concessions allowed to individual brokers within MSWM in connection with the offering if, within 30 days of the offering, Royal Bank of Canada repurchases the securities distributed by such brokers.

 

The value of the securities shown on your account statement may be based on RBCCM’s estimate of the value of the securities if RBCCM or another of our affiliates were to make a market in the securities (which it is not obligated to do). That estimate will be based on the price that RBCCM may pay for the securities in light of then-prevailing market conditions, our creditworthiness and transaction costs. For an initial period of approximately twelve months after the original issue date, the value of the securities that may be shown on your account statement is expected to be higher than RBCCM’s estimated value of the securities at that time. Structuring the Securities

 

The securities are our debt securities. As is the case for all of our debt securities, including our structured notes, the economic terms of the securities reflect our actual or perceived creditworthiness. In addition, because structured notes result in increased operational, funding and liability management costs to us, we typically borrow the funds under structured notes at a rate that is lower than the rate that we might pay for a conventional fixed or floating rate debt security of comparable maturity. The lower internal funding rate, the agent’s commission and the hedging-related costs relating to the securities reduce the economic terms of the securities to you and result in the initial estimated value for the securities being less than their public offering price. Unlike the initial estimated value, any value of the securities determined for purposes of a secondary market transaction may be based on a second market rate, which may result in a lower value for the securities than if our initial internal funding rate were used.

 

In order to satisfy our payment obligations under the securities, we may choose to enter into certain hedging arrangements (which may include call options, put options or other derivatives) with RBCCM and/or one of our other subsidiaries. The terms of these hedging arrangements take into account a number of factors, including our creditworthiness, interest rate movements, volatility and the tenor of the securities. The economic terms of the securities and the initial estimated value depend in part on the terms of these hedging arrangements.

court of competent jurisdiction; (iii) under applicable limitations statutes generally, including that the enforceability of the indenture will be subject to the limitations contained in the Limitations Act, 2002 (Ontario), and such counsel expresses no opinion as to whether a court may find any provision of the indenture to be unenforceable as an attempt to vary or exclude a limitation period under such applicable limitations statutes; (iv) rights to indemnity and contribution under the securities or the indenture which may be limited by applicable law; and (v) courts in Canada are precluded from giving a judgment in any currency other than the lawful money of Canada and such judgment may be based on a rate of exchange in existence on a day other than the day of payment, as prescribed by the Currency Act (Canada). This opinion is given as of the date hereof and is limited to the laws of the Provinces of Ontario and Québec and the federal laws of Canada applicable therein.
