(the “Registration Statement”) is being filed pursuant to Rule 462(d) under the Securities Act of 1933, as amended (the “Securities Act”), solely for the purpose of filing Exhibit (n)(3), “Consent of Independent Registered Public Accounting Firm (BlackRock TCP Capital Corp. 10-K),” Exhibit (n)(4) “Consent of Independent Registered Public Accounting Firm (BlackRock Capital Investment Corporation 10-K),” and Exhibit (n)(5) “2024 Power of Attorney” to the Registration Statement.
