On May 8, 2024, Wolverine World Wide, Inc. (the “Company”) issued a press release announcing its financial results for the Company’s first quarter of 2024, attached as Exhibit 99.1 to this Form 8-K (the “8-K”), which is hereby incorporated by reference. On March 7, 2024, the Company’s Board of Directors approved a common stock repurchase program that authorized the repurchase of $150.0 million of common stock over a three-year period. The timing and amount of any repurchase under this program will depend upon several factors, including market conditions, business conditions, statutory and contractual restrictions, the trading price of our common stock and the nature of other investment opportunities available to the Company.
