On May 6, 2024, ITC Holdings Corp. (the “Company”) issued a news release announcing that it (1) commenced a private offering of senior unsecured notes due 2034 (the “notes”), subject to market conditions and (2) priced the offering of the notes.
The Company intends to use the net proceeds from this offering to partially redeem $400 million aggregate principal amount of its 3.65% Senior Notes due June 15, 2024 and for general corporate purposes.
Copies of the press releases, each dated May 6, 2024 announcing the (1) commencement of a private offering of the notes and (2) pricing of the notes, respectively, are filed as Exhibit 99.1 and Exhibit 99.2 hereto and are incorporated herein by reference.
