Item 2.02 Results of Operations and Financial Condition.

On May 3, 2024, Fox Factory Holding Corp. (the “Company”) issued a press release containing the Company’s financial results for its first fiscal quarter ended March 29, 2024. A copy of the Company’s press release is attached hereto as Exhibit 99.1.
