State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

 

Check-Cap Ltd. (the “Company”) has experienced a delay in the preparation of its annual financial statements and in completing the disclosures in connection with the filing of its Form 20-F for the fiscal year ended December 31, 2023 (the “Form 20-F”). As a result of the delay, the Company is unable to file its Form 20-F by the prescribed filing date without unreasonable effort or expense. Therefore, the Company needs additional time to complete the Form 20-F. The Company currently anticipates that the Form 20-F will be filed within the extension period provided by Rule 12b-25 under the Securities Exchange Act of 1934, as amended.

Because the Company has not completed its financial statements due to the reasons stated above, the Company is unable to provide a reasonable estimate of its results of operations for the fiscal year ended December 31, 2023. However, the Company expects to report significant changes to cash, cash equivalents and restricted cash and net loss for the fiscal year ended December 31, 2023 as compared to the fiscal year ended December 31, 2022, partially due to changes in the Company’s operations as it prepares to execute on its strategic development plan, including the previously announced business combination transactions.
