Graphex Group Limited (the “Company” or “we”) is an issuer listed on The Stock Exchange of Hong Kong Limited

(“HKSE”) and has its American Depositary Shares (“ADSs”) listed on the NYSE American LLC stock exchange market. Under the Rules Governing the Listing of Securities on the HKSE (“Listing Rules”), the Company has announced its consolidated results of the Company and its subsidiaries (the “Group”) for the year ended 31 December 2023 together with comparative figures (the “Announcement”). The financial statements included in the Announcement have been prepared in accordance with International Financial Reporting Standards (“IFRSs”). We are furnishing this Announcement as Exhibit 99.1 of this Form 6-K, which is incorporated herein by reference.
