NOTE 8 — SUBSEQUENT EVENTS

The Company evaluated subsequent events and transactions that occurred after the balance sheet date up to the date that the financial statements were issued. Based upon this review, except as noted below, the Company did not identify any subsequent events that would have required adjustment or disclosure in the financial statements.

On October 18, 2022, the Company consummated the Initial Public Offering of 6,600,000 units, including 600,000 additional units issued pursuant to the partial exercise by the underwriter of its over-allotment option, generating gross proceeds of $66,000,000, which is described in Notes 1 and 3.

Simultaneously with the consummation of the Initial Public Offering and the sale of the Units, the Company consummated the private placement of 394,000 nits, to the Sponsor at a price of $10.00 per private placement unit, generating total proceeds of $3,940,000, which is described in Notes 1 and 4.
