This morning, we announced that we’ve entered into a definitive agreement to be acquired by Alexion in a transaction valued at approximately $70 million. I’ve attached a copy of the joint press release we issued for your reference.

LogicBio shareholders will receive $2.07 per share in cash, a premium of approximately 660% to LogicBio’s closing share price on September 30, 2022.

 

 

Under the terms of the agreement, Alexion, will initiate a tender offer to acquire all outstanding shares of LogicBio, subject to the tender of at least a majority of the outstanding shares of LogicBio common stock and the satisfaction of other conditions.

 

 

The transaction is expected to close in the next four to six weeks, subject to the tender of at least a majority of the outstanding shares of LogicBio common stock and the satisfaction of other closing conditions.
