The annual report of the Registrant on Form 10-K for the period ending June 30, 2022 could not be filed by September 28, 2022 without unreasonable effort and expenses, because the Registrant has recently engaged new auditors which will need additional time to complete their review work.  In accordance with Rule 12b-25 of the Securities Exchange Act of 1934, as amended, the Registrant will file its Form 10-K no later than the fifteen-calendar day following the prescribed due date.
