This Amendment No. 1 (this “Amendment No. 1”) amends and supplements the Tender Offer Statement on Schedule TO filed with the Securities and Exchange Commission (the “SEC”) by Prospect Capital Corporation, a Maryland corporation (the “Company”), on August 26, 2021 (the “Schedule TO”), relating to the Company’s offer to purchase (the “Tender Offer”) up to of its $60,000,000 aggregate principal amount of outstanding 4.95% Senior Convertible Notes due 2022 (the “Notes”). The Tender Offer was made upon the terms and subject to the conditions set forth in the Offer to Purchase, August 26, 2021 (the “Offer to Purchase”).
This Amendment No.1 is the final amendment to the Schedule TO and reports the results of the Tender Offer.
Except as set forth in this Amendment No. 1, the terms of the Tender Offer remain the same as set forth in the Offer to Purchase. Capitalized terms used herein and not otherwise defined have the meanings ascribed to such terms in the Offer to Purchase or the Schedule TO. This Amendment No. 1 should be read together with the Schedule TO and the Offer to Purchase, which are expressly incorporated by reference in this Amendment No. 1 in response to all applicable items required in the Schedule TO, except that such information is hereby amended and supplemented to the extent specifically provided herein.
Item 1. Summary Term Sheet.
The information set forth in the Offer to Purchase and Item 1 of the Schedule TO, to the extent such Item 1 incorporates by reference the information contained in the Offer to Purchase, is hereby amended and supplemented by the information set forth under Item 4(a) below, which information is incorporated herein by reference.
Item 4. Terms of the Transaction.
(a)Material Terms. The information set forth in the Offer to Purchase is hereby amended and supplemented by the information set forth below.
The Tender Offer expired at 12:00 midnight, New York City time, on September 24, 2021 (one minute after 11:59 p.m., New York City time, on September 23, 2021). As of the expiration of the Tender Offer, $50,554,000 aggregate principal amount of the Notes, representing approximately 45.52% of the outstanding Notes, were validly tendered and not validly withdrawn pursuant to the Tender Offer. The Company has accepted for purchase all Notes that were validly tendered and not validly withdrawn pursuant to the applicable Tender Offer at the expiration of such Tender Offer at the Purchase Price (plus accrued and unpaid interest on such Notes, if any, from July 15, 2021, up to but not including the Settlement Date). Following settlement of the Tender Offer, approximately $60,501,000 aggregate principal amount of the Notes will remain outstanding.
